OREGON BEACH WRESTLING DIVISION BY LAWS

Article I    Name, Purpose and Identity

        1.1 Name ... The name of the division shall be 'The Oregon Beach Wrestling Division." In addition to the formal name, the division may conduct its affairs under such names, symbols and images as approved by its Board of Directors.

        1.2 Purpose ... The Oregon Beach Wrestling Division, shall responsibly advocate, promote, coordinate, and provide opportunities to its membership to achieve their full potential as a wrestler or coach of the sport of amateur wrestling.

        1.3 Identity ... The 'The Oregon Beach Wrestling Division shall operate as a Division of the Oregon Wrestling Association, which is a charter member of The United States of America Wrestling Association Inc. shall be organized as a non-profit corporation within the definition of the Internal Revenue Code 501 (c)(3), as amended.

Article II     Structure

        2.1 Membership ... Every resident of the State of Oregon that holds a valid membership with USA Wrestling shall, for the term of the membership, also be a member of the The Oregon Beach Wrestling Division. No individual shall be denied membership in the association, nor shall they be refused recognition, because of race, color, religion, sex, handicap, or ethic or national origin.

        2.2 Meeting of members ... A meeting of members of the Oregon Beach Wrestling Division shall be held annually at the OWA General Meeting held in the Fall. Notice of the date, time and location of the meeting will be made available via the OWA website.

        2.3 Voting members defined ... Anyone who qualifies as a member (2.1) and holds a USAW membership from the previous membership year.

        2.4 Quorum ... At least five voting members shall constitute a quorum to conduct business at the annual meeting of the division.

Article III     Officers

        3.1 Officers and their duties ... Officers of the Oregon Beach Wrestling Division shall be the Director, and two members at large. Each shall be responsible to oversee specific tasks as coordinated by the division director. The Director is to manage the funds provided the division from the OWA and/or any other sources.

        3.2 Election of Officers ... persons shall be elected, in accordance with these by laws, one to serve as State Beach Director, and two members at Large. The term of office shall be two years commencing at the conclusion of the annual meeting of the OWA. The Beach Director and one member at large shall be elected on odd numbered years and the second member at large shall be elected on even numbered years. Any member of the OWA in good standing shall be eligible to run for election for any position that they are qualified to be in.

Article IV     Monies

        4.1 Funds ... As provided by the OWA State Office to be used for expenses within the Oregon Beach Wrestling Division.

        4.2 Accountability ... The Division Director shall prepare and present an annual budget to the OWA Board of Directors at the Annual Executive Board Meeting. Copies of said report are to be available for distribution at the OWA Annual Meeting. All books shall be open to any voting member of the OWA.

       4.3 Fiscal Year ... the fiscal year for the 'The Oregon Beach Wrestling Division of the OWA shall begin September 1 and end August 31.

        4.4 Excess Monies.. Monies left in an account at the end of the fiscal year shall remain in that account to be used during the next fiscal year.

Article V     Amendments

    Proposed changes in these By Laws shall be presented to the Directors of the Oregon Beach Wrestling Division, in writing and signed by two members that are in good standing no lather than 14 days prior to the regularly scheduled meeting of the OWA membership. Written or printed notice setting forth the proposed changes or a summary of the changes shall be given to each voting member at the annual meeting.  An amendment is adopted only if 75% of the voting membership in attendance approves the amendment and a quorum is present.
